1. Who we are
Deliberate is a macOS application published by The Deliberate Company, LLC (“Deliberate,” “we,” “us”). These Terms of Service (“Terms”) govern your access to and use of the Deliberate application, the getdeliberate.ai website, and related services (together, the “Service”). 2. Acceptance of these Terms
By creating an account, installing the application, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. The alpha
The Service is currently offered as an invite-gated alpha. It is provided for early evaluation, may change, be interrupted, or contain defects, and features may be added or removed. Access is by invitation and may be limited or revoked. You should not rely on the alpha as your sole system of record.
4. What Deliberate does
Deliberate is an assistant that works over accounts you connect — your Google and/or Microsoft account (email and, where enabled, Google Calendar). Deliberate helps you triage, organize, and draft communications and tasks.
- You stay in control. Deliberate drafts; you approve; you send. The Service does not send email or take outbound actions on your behalf without your explicit approval. There is no automatic-send.
- The AI runs on your own account. Deliberate uses your own Anthropic Claude subscription to power its assistance. We do not proxy, resell, or provide AI model access, and your use of Claude is governed by your agreement with Anthropic. You are responsible for maintaining an active Claude subscription; without one, AI features will not function.
Deliberate updates itself automatically so that every installation stays current and secure. By using the Service you consent to receiving these automatic updates.
5. Accounts, sign-in, and eligibility
- You sign in using your Google or Microsoft account (OAuth). You are responsible for maintaining the security of those accounts and for all activity under your Deliberate account.
- One account per person. Deliberate is licensed per individual. You may use it on as many of your own devices as you like, but you may not share your account, and each person who uses Deliberate needs their own subscription.
- You must be at least 18 years old and able to form a binding contract. The Service is not directed to children.
- You authorize Deliberate to access the connected accounts and data described in the Privacy Policy, solely to provide the Service, and only to the extent of the permissions (scopes) you grant. You can revoke access at any time by disconnecting the account or through your Google/Microsoft security settings.
6. Subscriptions, billing, and cancellation
- Price. Deliberate is $50 per month per person (USD) during the alpha. We will add an annual plan ($500 per year) at a later stage; any new pricing will be presented before you agree to it. You must maintain your own Claude subscription separately (see §4).
- Payment processor. Payments are processed by Stripe; we accept major credit and debit cards through Stripe. Your payment card details are handled by Stripe, not stored by us. See the Privacy Policy and Stripe’s Privacy Policy.
- When you are charged. We collect your payment method when you sign up, but your first charge is deferred to the one-month anniversary of your sign-up date, and the subscription then renews and bills monthly on that date. We send you a reminder 5, 3, and 1 days before an upcoming charge. By subscribing, you authorize these recurring charges until you cancel.
- Taxes. Prices exclude taxes unless stated; you are responsible for applicable taxes, which may be added at checkout.
- Cancellation. You may cancel at any time through your billing settings (the Stripe customer portal). Cancellation stops future renewals, and your access continues through the end of the month you have already paid for.
- No proration. Your payment covers the upcoming billing month in full. We do not prorate or refund partial months when you cancel (except as provided under “Refunds” below or where required by law) — instead, you keep full access through the end of that paid month.
- Refunds. Your first month is effectively free: we do not charge you at sign-up, your first payment is taken about one month later, and we remind you 5, 3, and 1 days beforehand — so you will have used Deliberate for a month before you pay anything. After that, if a charge ever lands at the wrong time, email [email protected] and we will refund your most recent monthly payment, no questions asked. You may request this within twelve (12) months of the charge, up to once every 12 months. Except as described here, and except where the law where you live gives you stronger rights, payments are non-refundable. When you request a refund we may ask — optionally — what went wrong, so we can try to make it right; your refund is never conditioned on answering, and asking for one in good faith will never affect your standing with us. (Founder-set policy; counsel to confirm and reconcile with statutory cooling-off rights in the EU/UK and elsewhere.)
- Failed payments. If a charge fails, we (via Stripe) may retry it. If it cannot be collected, your subscription may be paused or canceled; you will not be locked out of exporting your own drafts and tasks.
- Price changes. We may change pricing for future billing periods with advance notice; changes never apply retroactively to a period you have already paid for.
7. Your content and your tools remain yours
Deliberate operates over your own email, calendar, and task tools, which remain your systems of record. You retain all rights to your content. Cancelling or ending the Service does not delete or hold your content hostage — it lives in your own connected accounts. You grant us only the limited permissions needed to provide the Service, as described in the Privacy Policy.
8. Acceptable use
You agree not to: use the Service unlawfully or to violate the rights of others; attempt to access accounts or data that are not yours; reverse engineer, resell, or sublicense the Service except as allowed by law; interfere with or disrupt the Service; or use the Service to send spam or content that violates Google’s, Microsoft’s, Anthropic’s, or Stripe’s acceptable-use rules. You are responsible for your use of the connected accounts and for anything you approve and send.
9. Intellectual property
The Deliberate application, website, and brand are owned by The Deliberate Company, LLC and protected by law. Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own purposes. We welcome your feedback and may use it to improve the Service without obligation to you.
10. Third-party services
The Service interoperates with third parties you choose to connect or that we use to operate — including Google, Microsoft, Anthropic (Claude), and Stripe. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability or changes may affect the Service.
Our use of the Google and Microsoft APIs complies with their developer terms and API policies — including the Google API Services User Data Policy (and its Limited Use requirements) and the Microsoft APIs Terms of Use. How we access and use the Google and Microsoft data you authorize is described in our Privacy Policy (sections 7 and 8).
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, to the fullest extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. During the alpha in particular, we do not warrant that the Service will be uninterrupted, error-free, or that AI-generated drafts will be accurate or suitable — you are responsible for reviewing anything before you approve or send it.
12. Limitation of liability
To the fullest extent permitted by law, The Deliberate Company, LLC and its officers, members, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the 3 months before the claim, or US $100. Some jurisdictions do not allow these limits, so they may not fully apply to you.
13. Indemnification
You agree to indemnify and hold harmless The Deliberate Company, LLC from claims arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right. [Counsel to confirm scope.]
14. Suspension and termination
We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. You may stop using the Service at any time. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnification, governing law) survive.
Abuse. A good-faith refund or cancellation request is never, by itself, grounds for terminating your account or declining you future service — we want to hear from you when something is wrong so we can make it right. We do, however, reserve the right to decline or discontinue service, and to withhold future promotional pricing, trials, or discretionary refunds, in cases of demonstrated abuse — for example, fraud, payment or chargeback abuse, or a repeated pattern of subscribing, obtaining a refund, and re-subscribing to avoid paying. We apply this case by case and in good faith, not to penalize customers who raise legitimate concerns.
15. Changes to these Terms
We may update these Terms. If we make material changes, we will notify you (for example, by email or in-app) and update the “Last updated” date, and where appropriate ask you to accept the new version. Continued use after changes take effect means you accept them.
16. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. You and Deliberate agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of Colorado, and each party consents to the personal jurisdiction of those courts.
